1.Acceptance of Terms & Definitions

By accessing or using swapot.com (the “Site” or “Platform”) to list, purchase, or sell pre-owned furniture, the user agrees to be bound by these Terms & Conditions (“Terms”). Users who do not agree to these Terms must refrain from using the Site.

• “Applicable Law”: Means any law, statute, regulation, directive, or legal requirement having the force of law in Pakistan.
• “Booking Amount”: Means the partial advance payment made by a Buyer to reserve an item.
• “Buyer”: Means any person booking or purchasing an item through the Site.
• “Content”: Means all photographs, listing descriptions, logos, and materials submitted or published on the Site.
• “Losses”: Means direct or indirect damages, liabilities, costs, or legal expenses.
• “Seller”: Means any person offering an item for sale through Swapot.
• “Seller Receivables”: Means the net proceeds due to a Seller following a successful transaction and collection of buyer funds.

2.Scope of Swapot Services

Swapot operates a managed marketplace for pre-owned furniture in Lahore, Pakistan. Swapot inspects listings in person prior to publication, manages communications between buyers and sellers, and coordinates pickup and delivery. Save as expressly provided herein regarding payment handling and physical handover security, Swapot acts as an intermediary marketplace platform and is not a party to the underlying contract of sale between buyer and seller.

3.Seller Obligations, Warranties & Registration

3.1 Registration Details: Sellers must provide valid registration details, including full legal name, phone number, physical address, Computerised National Identity Card (CNIC) number, and banking details for payout execution.

3.2 Title & Ownership: The Seller represents and warrants that they are the sole and absolute legal owner of the listed item, holding clear title free from any third-party claims, liens, or encumbrances. Ownership and risk transfer directly from the Seller to the Buyer upon successful delivery and full payment at destination.

3.3 Seller Warranties: The Seller warrants that listed items comply with applicable product safety standards in Pakistan, conform strictly to the descriptions provided during inspection, and are not stolen, counterfeit, or prohibited.

3.4 Inspection & Listing: Listing on the Site is free. Every item must undergo an in-person physical inspection by Swapot prior to listing. Swapot reserves the right to decline any item exhibiting structural or safety defects. The listing price, seller payout, and commission shall be agreed upon jointly in a binding Seller Agreement.

3.5 Pickup, Security Cheque & Payouts: Upon confirmation of a booking, Swapot schedules pickup. At pickup, the seller receives a written agreement and a security cheque by way of protection, to be returned upon clearance of final buyer payment. Seller Receivables shall be remitted to the seller’s bank account within 24 hours of successful delivery. Swapot is authorized to deduct agreed commission and logistics fees prior to remitting payouts.

4. Buying on Swapot

4.1 Booking & Cart Reservation: Adding an item to the cart reserves the item temporarily and does not finalize the purchase.

4.2 Booking Amount: Payment of a Booking Amount secures the item and constitutes a partial advance payment. The terms ‘deposit’ or ‘advance’ do not apply.

4.3 Delivery Charges: Delivery charges are calculated following booking based on pickup and delivery locations. Delivery is scheduled upon the buyer’s agreement to the final delivery fee.

4.4 Handover & Inspection: At delivery, the buyer may inspect the item prior to unloading. Upon confirmation of conformity, the buyer shall pay the remaining balance, whereupon title and ownership transfer to the buyer.

5. Rejections, Returns & Change of Mind

5.1 Genuine Non-Conformity: If the delivered item fails to conform to the listing’s photographs or inspection report, the buyer must provide immediate photographic evidence. Swapot will review the claim within 4 business hours. Upon confirmation of non-conformity, the full Booking Amount shall be refunded, and the item returned to the seller on the same trip.

5.2 Change of Mind: If the item conforms to disclosed reports but the buyer refuses delivery due to a change of mind or unavailability, the Booking Amount shall be forfeited and retained as liquidated damages. The item shall be returned to the seller, and the listing shall remain active.

6. Prohibited Conduct & Anti-Money Laundering

Users shall not publish fraudulent listings, circumvent Swapot by making off-site deals to bypass commissions, interfere with digital systems, or list illegal/stolen goods.

6.2 AML & Regulatory Compliance: Swapot complies with anti-money laundering (AML) and counter-terrorist financing standards under Pakistani law. Users warrant that transaction funds do not derive from illegal activities. Swapot reserves the right to suspend transactions or freeze payouts pending verification checks.

7. Intellectual Property & Data Rights

7.1 User Content License: Sellers grant Swapot a perpetual, royalty-free, worldwide, non-exclusive right to store, display, crop, and distribute photography and descriptions uploaded to the Platform for marketing and operational purposes.

7.2 Platform IP: All trademarks, software, domain names, UI designs, and brand collateral associated with Swapot remain the exclusive intellectual property of Swapot (Private) Limited.

8. Limitation of Liability & Indemnity

To the maximum extent permitted under Pakistani law, Swapot shall not be liable for any indirect, incidental, special, or consequential damages. Swapot’s total aggregate liability arising out of or relating to any transaction shall not exceed the net commission or fee earned by Swapot from that specific transaction.

8.2 User Indemnity: Users agree to indemnify, defend, and hold harmless Swapot, its directors, officers, employees, and logistics partners against any claims, losses, or legal expenses resulting from their breach of these Terms or misrepresentation of item ownership.

9. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Unresolved disputes shall be submitted to the exclusive jurisdiction of the competent civil courts in Lahore, Pakistan.
